1. Introduction

These terms of service ("Terms") govern your use of the services provided by 7 Figures Ltd t/a Sprog Systems ("Sprog", "we", "us", "our"), a company registered in England and Wales. By engaging our services or using our website at sprogsystems.co.uk, you agree to be bound by these Terms.

2. Services

Sprog provides digital marketing, website design and development, chatbot integration, enrolment management tools, and related services for nurseries and early years settings. The specific services provided to you will be outlined in your service agreement or proposal.

3. Subscriptions and payment

Our services are provided on a monthly or annual subscription basis. By subscribing, you agree to:

• -Pay the fees outlined in your chosen plan
• -All prices include VAT - we understand nurseries are VAT exempt
• -Payments are due monthly in advance, or annually if you choose the annual plan
• -We reserve the right to adjust pricing with 30 days' written notice

4. Cancellation

You may cancel your subscription at any time with 30 days' written notice. Monthly subscriptions will end at the close of the current billing period. Annual subscriptions are non-refundable once the subscription period has begun, but you will continue to receive services until the end of the paid period.

5. Your responsibilities

To enable us to deliver our services effectively, you agree to:

• -Provide accurate and up-to-date information about your nursery
• -Review and approve content, website copy, and chatbot answers in a timely manner
• -Ensure you have the right to use any images, logos, or content you provide to us
• -Respond to reasonable requests for information within 5 working days

6. Intellectual property

All websites, designs, content, and tools created by Sprog remain the intellectual property of 7 Figures Ltd t/a Sprog Systems while your subscription is active. Upon cancellation, ownership of your website design and custom content transfers to you, provided all outstanding fees have been paid. Sprog's proprietary tools, chatbot platform, and systems remain our intellectual property at all times.

7. Limitation of liability

While we work hard to deliver results, Sprog does not guarantee specific outcomes such as enrolment numbers or enquiry volumes. Our liability is limited to the fees paid by you in the 12 months preceding any claim. We are not liable for indirect, consequential, or incidental damages arising from the use of our services.

8. Data and privacy

We take data protection seriously. Our handling of personal data is governed by our Privacy Policy. We comply with UK GDPR and the Data Protection Act 2018. We will never access, share, or use parent or child data for any purpose other than delivering our agreed services.

9. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
